Terms of Service
1. Acceptance of Terms
By accessing or using ChurchMend ("Service") operated by Ouchens LLC, doing business as ChurchMend ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
ChurchMend is a maintenance management platform for churches and similar organizations. It includes a dashboard for work orders, recurring tasks, team management, and a public request portal (including QR-code-based submission) that allows individuals to submit maintenance requests to your organization. We reserve the right to modify, suspend, or discontinue the Service or any part of it with reasonable notice where practicable.
3. Account Registration and Eligibility
You must provide accurate and complete information when registering. You are responsible for maintaining the security of your account and for all activity under it. The Service is intended for churches, religious organizations, and similar entities. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
4. Free Trial
We may offer a free trial (e.g., 14 days) to new accounts. No credit card is required to start the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service beyond trial features, or your access may be limited or suspended.
5. Subscription Plans and Billing
Paid plans include monthly subscriptions and one-time lifetime access options, as described on our pricing page. Billing is processed through Stripe. By subscribing, you agree to Stripe's terms and to pay all fees associated with your chosen plan. Prices are in U.S. dollars unless otherwise stated. We may change pricing with advance notice; continued use after a price change constitutes acceptance.
6. Cancellation and Refund Policy
You may cancel your subscription at any time through your account or Stripe customer portal. Cancellation will take effect at the end of the current billing period; you will retain access until then. We do not provide refunds for partial periods or for one-time (lifetime) purchases unless required by law or as we otherwise agree in writing.
7. Acceptable Use
You agree not to use the Service for any illegal purpose or in violation of any applicable laws. You will not upload, submit, or transmit content that is infringing, defamatory, harassing, or otherwise objectionable. You will not attempt to gain unauthorized access to the Service, other accounts, or our systems. If you make the public request portal available to others (e.g., via QR codes), you are responsible for their use in compliance with these Terms. We may suspend or terminate accounts that violate these Terms.
8. Intellectual Property
The Service, including its design, code, text, graphics, and branding, is owned by us or our licensors and is protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal organizational use in accordance with these Terms. You retain ownership of content you upload; you grant us a license to use, store, and display that content as needed to provide and improve the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER).
11. Indemnification
You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Massachusetts.
13. Changes to Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. For material changes, we may provide additional notice (e.g., by email or a notice in the product). If you do not agree to the new Terms, you must stop using the Service.
